Terms of Service

Welcome to Biznsbook. These Terms of Service ("Terms") govern your access to and use of the Biznsbook cloud ERP platform, website, and related services (collectively, the "Service") operated by Biznsbook. By creating an account or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using the Service, you confirm that you:

• Are at least 18 years of age
• Have the legal authority to enter into these Terms on behalf of yourself or your organization
• Accept and agree to comply with these Terms and our Privacy Policy

If you do not agree to these Terms, you must not use the Service.

2. Description of Service

Biznsbook is a cloud-based, multi-tenant Enterprise Resource Planning (ERP) platform that provides integrated business management tools including, but not limited to:

• Inventory Management & Stock Control
• Financial Accounting (General Ledger, Trial Balance, Balance Sheet, P&L)
• Sales & Purchase Management
• Point of Sale (POS)
• Human Resource Management System (HRMS) & Payroll
• Real Estate Management (Projects, Bookings, Installments)
• Manufacturing (BOM, Work Orders, Production, Quality)
• Treasury & Cash Management
• Reporting & Business Analytics

Module availability depends on your subscription plan. Additional modules may be added as optional add-ons.

3. Account Registration

3.1 Account Creation

To use the Service, you must register for an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

3.2 Company Administrator

Each subscription creates a tenant with a designated Company Administrator who has full administrative control over the tenant's data, users, roles, and module configurations. The Company Administrator is responsible for managing user access and ensuring compliance with these Terms within their organization.

3.3 Email Verification

You must verify your email address before accessing the Service. We send a verification email upon registration, and your account will not be fully activated until verification is complete.

4. Subscription Plans & Billing

4.1 Plans

We offer multiple subscription plans (Starter, Pro, Enterprise) with varying features, user limits, and module access. Current plan details and pricing are available on our Pricing page.

4.2 Payment Processing

All payments are processed through Paddle, which acts as our Merchant of Record. By subscribing, you agree to Paddle's terms of service and payment policies. Paddle handles all billing, invoicing, tax calculation, and payment processing.

4.3 Billing Cycles

Subscriptions are billed either monthly or annually, depending on your selection. Annual plans offer a discount and are billed as a single upfront payment.

4.4 Price Changes

We reserve the right to change our pricing. Existing subscribers will be notified at least 30 days before any price change takes effect. Price changes apply at the start of the next billing cycle.

5. Refund Policy

Biznsbook is committed to customer satisfaction. Our refund policy is designed to be fair and transparent:

5.1 30-Day Money-Back Guarantee

For annual subscriptions, we offer a 30-day money-back guarantee. If you are not satisfied with the Service within the first 30 days of your annual subscription, you may request a full refund. The refund will be prorated based on the number of days used.

5.2 Monthly Subscriptions

Monthly subscriptions are generally non-refundable once the billing period has started. However, we evaluate refund requests on a case-by-case basis for exceptional circumstances such as:

• Technical issues that prevented access to the Service
• Billing errors or duplicate charges
• Service not meeting the features advertised on our Pricing page

5.3 Cancellations & Pro-rated Refunds

If you cancel your subscription before the end of the billing period:

• Annual Plans: Pro-rated refunds are available if cancelled within the first 30 days. After 30 days, no refunds are issued, but you retain access until the subscription expires.
• Monthly Plans: Access continues until the end of the current billing cycle; no pro-rated refunds are provided.

5.4 Add-On Module Refunds

Add-on modules purchased mid-cycle are pro-rated. If you remove an add-on before the next billing cycle, charges will be adjusted accordingly. Refunds for add-ons follow the same policy as the base subscription.

5.5 Payment Processing via Paddle

All refund requests are processed through Paddle, our Merchant of Record. Refunds are typically processed within 5-10 business days and will be credited to the original payment method. Paddle's refund policies and terms also apply.

5.6 How to Request a Refund

To request a refund, please contact our support team:

• Include: Your account email, subscription plan, and reason for the refund request

We will review your request and respond within 2 business days.

6. Add-On Modules

Optional add-on modules (such as HRMS, Manufacturing, Real Estate, Advanced Analytics) can be added to or removed from your subscription at any time. Add-on charges are prorated and billed according to your billing cycle.

7. Free Trials

We may offer free trial periods for certain plans. During the trial period, you have access to the plan's features without charge. At the end of the trial, your subscription will begin at the applicable rate unless you cancel before the trial expires. No credit card is required to start a trial.

8. Your Data

7.1 Ownership

You retain full ownership of all data you enter into the Service ("Your Data"). We do not claim any intellectual property rights over Your Data.

7.2 License to Use

You grant us a limited, non-exclusive license to process, store, and display Your Data solely for the purpose of providing the Service to you.

7.3 Data Export

You may export Your Data at any time through the built-in export features (PDF, Excel, CSV) available within each module.

7.4 Data Isolation

Biznsbook is a multi-tenant platform. Your Data is logically isolated from other tenants' data using company-level access controls and unique identifiers. No other tenant can access Your Data.

9. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to gain unauthorized access to other tenants' data or system infrastructure
• Upload malicious code, viruses, or harmful content
• Use the Service to store or process data that infringes on third-party intellectual property
• Exceed the user limits or storage limits of your subscription plan
• Reverse engineer, decompile, or disassemble any part of the Service
• Share your login credentials with unauthorized individuals
• Use automated systems (bots, scrapers) to access the Service without prior written consent

10. Service Availability

We strive to maintain 99.9% uptime for the Service. However, we do not guarantee uninterrupted availability. The Service may be temporarily unavailable due to:

• Scheduled maintenance (with advance notice where practical)
• Emergency security patches
• Force majeure events beyond our reasonable control

11. Intellectual Property

The Service, including its design, code, features, documentation, branding, and all related materials, is the intellectual property of Biznsbook. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service during the subscription period.

12. Account Suspension & Termination

11.1 By You

You may cancel your subscription at any time. Upon cancellation, your account will remain active until the end of the current billing period. After that, your account will be deactivated and data retained for 30 days before permanent deletion.

11.2 By Us

We reserve the right to suspend or terminate your account if you:

• Violate these Terms or our Acceptable Use policies
• Fail to pay subscription fees when due
• Engage in fraudulent or abusive behavior
• Use the Service in a way that threatens the security or performance of the platform

We will provide reasonable notice before suspension, except where immediate action is necessary to protect the Service or other users.

13. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "as is" and "as available" without warranties of any kind, express or implied
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
• Our total liability for any claim related to the Service shall not exceed the amount you paid to us in the 12 months preceding the claim
• We are not responsible for losses resulting from inaccurate data entry, misconfigured settings, or third-party service failures

14. Indemnification

You agree to indemnify and hold harmless Biznsbook, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or your violation of these Terms.

15. Third-Party Services

The Service may integrate with or link to third-party services (e.g., Paddle for payments, Azure for hosting). Your use of such services is governed by their respective terms and privacy policies. We are not responsible for the content, policies, or practices of third-party services.

15. Modifications to the Service

We continuously improve the Service and may add, modify, or remove features at any time. We will provide reasonable notice for any changes that materially affect your use of the Service.

16. Modifications to These Terms

We may update these Terms from time to time. Material changes will be communicated to you via email or in-app notification at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

17. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Sweden. Any disputes arising from these Terms shall be resolved through good-faith negotiation first, and if necessary, through binding arbitration in Stockholm, Sweden.

18. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy and any applicable plan-specific terms, constitute the entire agreement between you and Biznsbook regarding the Service.
